These Website Terms of Use (these "Website Terms") form a binding agreement between you and FE International, Inc., a Delaware corporation, together with its affiliates and subsidiaries ("FE International, "we, "our, or "us"). They govern your access to and use of https://www.feinternational.com and any sub-domains, content, features, tools, and services we offer through it (collectively, the "Site"), whether you visit as a guest or a registered user.

Please read these Website Terms carefully before using the Site. By accessing or using the Site, you confirm that you have read, understood, and agreed to be bound by these Website Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to either, do not access or use the Site.

If you register an account on the FE International Marketplace, the separate Buyer & Seller Platform Terms also apply to that activity. Where there is a direct conflict between these Website Terms and the Platform Terms with respect to Marketplace activity, the Platform Terms control.

The Site is intended for users who are 16 years of age or older and who have the legal capacity to enter into a binding contract. By using the Site, you represent that you meet those requirements.

1. Who We Are and What the Site Does

1.1 An Online M&A Marketplace and Information Resource

The Site is an online M&A marketplace and information resource that connects sellers of online and digitally native businesses with prospective buyers, and provides supporting tools, articles, valuations, and educational content. The information made available through the Site is for users' internal business and informational purposes only.

1.2 What the Site Does Not Do

FE International does not itself buy, sell, or take ownership of any business listed on the Site. The Site is not a substitute for legal, tax, accounting, financial, or other professional advice. While FE International offers full-service brokerage and advisory services through its team of advisors, those engagements are governed by separately executed engagement letters — not by these Website Terms.

Any agreement between a buyer and a seller is solely between those parties. Except where a separately signed engagement letter expressly provides otherwise, FE International is not a party to any individual transaction and accepts no responsibility arising from or in connection with the sale or purchase of any business listed on the Site.

2. Listings and Information About Businesses

2.1 Verification Efforts

FE International works with prospective sellers to review and validate the information shown in listings. We cannot, however, guarantee that any listing is suitable for a particular buyer, that any business listed will meet a buyer's performance expectations, or that the information provided by a seller is accurate, complete, or up to date. FE International is not responsible for the truthfulness or accuracy of any listing on the Site.

2.2 Seller Representations

If you list a business on the Site, you must provide complete and accurate information. FE International may modify or remove any listing, in its sole discretion, if we believe the information is incomplete, inaccurate, misleading, or otherwise non-compliant with these Website Terms or the Platform Terms.

For each listing you provide, you represent and warrant to FE International that: (a) you are the owner of the business or are otherwise lawfully entitled to sell it; (b) you own or are the authorized licensee of all intellectual property rights associated with the business; (c) the business may be lawfully transferred to a buyer; and (d) any third-party agreements material to the business are likewise transferable to the buyer or, where required, that consents to assignment can reasonably be obtained.

2.3 Diligence Is Your Responsibility

Buying or selling a business requires careful, independent investigation and due diligence. As a buyer, you are solely responsible for researching any potential acquisition. As a seller, you are responsible for assessing whether a buyer is in a position to complete the purchase. You should consult with qualified legal, tax, accounting, and other professionals before undertaking any purchase or sale of a business.

3. Updates to These Website Terms

FE International may revise these Website Terms from time to time, in our sole discretion. All changes are effective when posted to the Site, unless we indicate otherwise in the update. Continued use of the Site after a change is posted constitutes your acceptance of the revised Website Terms. We encourage you to check this page periodically so you are aware of any changes that apply to you.

4. Site Access and Account Security

4.1 Availability

FE International reserves the right to withdraw, modify, or suspend the Site, or any feature, content, or service offered through it, at our sole discretion and without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. We may, from time to time, restrict access to portions of the Site, or to the entire Site, including for users who have created accounts.

4.2 Your Access Setup

You are responsible for arranging your own access to the Site (including hardware, software, and internet connection) and for ensuring that everyone who accesses the Site through your connection is aware of and complies with these Website Terms.

4.3 Account Information

If we ask you for registration information or any other details to access the Site or any feature, you must provide information that is accurate, current, and complete, and you must keep it that way. All information you provide is handled in accordance with our Privacy Policy, and you consent to all actions we take with your information that are consistent with that policy.

4.4 Credentials and Account Security

If you choose, or we provide you with, a username, password, multi-factor authentication code, API key, or any other access credential, you must treat that credential as confidential and may not share it with any third party. Your account is personal to you, and you may not authorize anyone else to use it. You must notify us immediately of any actual or suspected unauthorized access to your account or any other security breach. We recommend logging out at the end of each session, especially when using a shared or public device.

4.5 California Privacy Notice

FE International is headquartered in California. If you are a California resident, our Privacy Policy describes the disclosures, rights, and choices required by the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including how to exercise your rights to access, delete, correct, or opt out of certain processing of your personal information. You can submit a verifiable consumer request through the methods described in the Privacy Policy.

4.6 Right to Disable Credentials

FE International may disable any username, password, or other credential, whether chosen by you or assigned by us, at any time and in our sole discretion, including where we believe you have violated these Website Terms or the Platform Terms.

5. Intellectual Property

5.1 Ownership

The Site and all of its content, features, and functionality — including without limitation all text, graphics, images, photographs, video and audio, design, look and feel, software, source code, data compilations, and the selection and arrangement of all of the above — are owned by FE International, our licensors, or other providers of that material, and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Permitted Personal Use

These Website Terms permit you to use the Site for your personal, non-commercial use only, and for the lawful evaluation of FE International's services. You may not copy, reproduce, distribute, modify, adapt, translate, publicly display, publicly perform, republish, download, store, transmit, or create derivative works from any material on the Site, except as set out below:

  • your browser may temporarily cache pages of the Site as part of normal browsing;
  • you may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial reference; and
  • if we make a desktop, mobile, or browser application available, you may install one copy on a device you control, solely for your personal, non-commercial use, subject to any applicable end-user license agreement.

5.3 Restrictions

You must not modify any copy of any material from the Site, use any image, illustration, photograph, video, audio clip, or graphic separately from its accompanying text, or remove or alter any copyright, trademark, or other proprietary notice. You must not use any material on the Site for any commercial purpose without our prior written permission.

5.4 AI, Crawling, and Training Restrictions

Without our prior written permission, you may not (a) use any robot, spider, scraper, crawler, or other automated means to access, copy, or extract content from the Site, (b) use the Site or any content from the Site to train, fine-tune, evaluate, or otherwise develop any artificial intelligence or machine-learning model or dataset, (c) use the Site for benchmarking or competitive analysis, or (d) use the Site to develop or improve any product or service that competes with FE International. These restrictions apply in addition to, and do not limit, the prohibitions in Section 7.

5.5 Permission Requests

If you would like to use any content on the Site in a way not permitted by these Website Terms, please email legal@feinternational.com. Any use of the Site that is not expressly permitted by these Website Terms is a breach of these Website Terms and may infringe copyright, trademark, and other laws.

5.6 Trademarks

The FE International name, the FE International logo, and all related product and service names, designs, taglines, and slogans are trademarks of FE International or its affiliates or licensors. You may not use any of those marks without our prior written permission. All other names, logos, and marks appearing on the Site are the property of their respective owners.

6. Acceptable Use of the Site

You may use the Site only for lawful purposes and only in compliance with these Website Terms. Without limiting any other restriction, you agree that you will not use the Site:

  • in any manner that violates any applicable federal, state, local, or international law or regulation, including export-control and economic-sanctions laws;
  • in any manner intended to exploit, harm, or attempt to exploit or harm any minor, including by exposing them to inappropriate content or soliciting personal information;
  • to upload, transmit, or otherwise share any material that does not comply with the Content Standards in Section 8;
  • to send, or arrange the sending of, any unsolicited advertising, promotional material, junk mail, chain letters, spam, or any similar solicitation;
  • to impersonate or attempt to impersonate FE International, an FE International employee or contractor, another user, or any other person or entity (including by using look-alike email addresses or display names);
  • to engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Site, or that may, as we determine in our sole discretion, harm FE International, our users, or any third party, or expose any of them to liability;
  • in any way that could disable, overburden, damage, or impair the Site, the servers on which the Site is hosted, or any network connected to the Site;
  • to use any automated tool — including any robot, spider, scraper, crawler, AI agent, or browser-emulation tool — to access, monitor, copy, or extract any portion of the Site, except as expressly permitted in writing by us, and except for general-purpose search engine indexing that respects our robots directives;
  • to use any manual process to monitor or copy any material on the Site for any purpose not expressly authorized in these Website Terms, without our prior written consent;
  • to introduce any virus, worm, trojan horse, ransomware, logic bomb, spyware, or other malicious or technologically harmful code;
  • to attempt to gain unauthorized access to, interfere with, damage, or disrupt any portion of the Site, the servers hosting the Site, or any network or database connected to it; or
  • to launch or assist in any denial-of-service or distributed-denial-of-service attack, credential-stuffing attack, brute-force attack, or other attack against the Site.

7. User Contributions and Interactive Features

7.1 What This Section Covers

The Site may include forums, comment sections, profile pages, message threads, file uploads, and other interactive features (collectively, "Interactive Features") through which you can post, submit, share, or transmit content (your "Contributions"). All Contributions must comply with the Content Standards in Section 8.

7.2 No Confidentiality on Public Areas

Any Contribution you post to a public or shared area of the Site is considered non-confidential and non-proprietary. By submitting a Contribution, you grant FE International, our affiliates, service providers, and each of our and their licensees, successors, and assigns a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, copy, store, reformat, display, transmit, distribute, modify, perform, and otherwise use that Contribution in connection with operating, securing, marketing, and improving the Site and our services, in any media now known or later developed, consistent with your account's visibility settings.

7.3 Your Representations About Contributions

You represent and warrant that you own or control all rights necessary to grant the license in Section 7.2 and that all of your Contributions comply with these Website Terms. You are solely responsible for your Contributions, including their legality, accuracy, completeness, and appropriateness, and FE International is not liable to any third party for the content or accuracy of any Contribution posted by you or any other user.

7.4 Imported Third-Party Data as Contributions

Some areas of the Site let you connect a third-party account — for example, Stripe, Google Analytics, ChartMogul, Baremetrics, ProfitWell, QuickBooks, or similar tools — and import metrics or other data to be displayed on your listing or profile. Imported data is treated as a Contribution and is subject to this Section 7.

By connecting your account or providing API keys, view IDs, or OAuth tokens, you authorize FE International to access read-only information in those third-party accounts solely to import the agreed metrics and to display them to authorized users. You remain bound by the third-party's own terms and privacy policy when you make that connection.

7.5 Monitoring, Removal, and Account Action

FE International has the right, but not the obligation, to:

  • remove, refuse to post, or restrict any Contribution, in our sole discretion and for any reason or no reason;
  • take any action with respect to a Contribution that we believe is necessary or appropriate, including where we believe it violates these Website Terms or the Content Standards, infringes another party's rights, threatens user or public safety, or could create liability for FE International;
  • disclose your identity or any information about you to any third party who claims that material posted by you violates their rights, including intellectual-property or privacy rights, or that is required to be disclosed by law or legal process;
  • take appropriate legal action, including referral to law enforcement, in response to any unlawful or unauthorized use of the Site; and
  • suspend or terminate your access to all or part of the Site, with or without notice, for any reason or no reason, including any violation of these Website Terms.

YOU WAIVE AND HOLD HARMLESS FE INTERNATIONAL AND OUR AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THEM IN CONNECTION WITH ANY INVESTIGATION CONDUCTED BY THEM OR ANY LAW-ENFORCEMENT AUTHORITY, OR FROM ANY ACTION TAKEN AS A CONSEQUENCE OF SUCH INVESTIGATION.

FE International cannot review every Contribution before it is posted and cannot guarantee prompt removal of objectionable material after posting. We assume no liability for any action or inaction relating to any Contribution submitted by you or any third party.

8. Content Standards

The following Content Standards apply to every Contribution and to your use of any Interactive Feature. Contributions must comply, in their entirety, with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, Contributions must not:

  • contain any material that is defamatory, obscene, indecent, abusive, harassing, threatening, hateful, inflammatory, or otherwise objectionable;
  • promote sexually explicit or pornographic material, glorify or incite violence, or promote discrimination based on race, sex, religion, nationality, ethnicity, disability, age, sexual orientation, gender identity, or any other protected status;
  • infringe any patent, trademark, trade secret, copyright, publicity, privacy, or other right of any other person;
  • violate any law, regulation, or court order, or contain anything that could give rise to civil or criminal liability;
  • be deceptive, fraudulent, or misleading, including by misstating financial or operating metrics about a business;
  • promote or facilitate any illegal activity or any unlawful act, including the sale of any "security" within the meaning of the Securities Act of 1933 (see also the Platform Terms);
  • be likely to deceive any person or to cause needless annoyance, inconvenience, or anxiety;
  • impersonate any person, or misrepresent your identity, qualifications, or affiliation with any person or organization;
  • involve unsolicited commercial activities, contests, sweepstakes, barter, or advertising not authorized by us; or
  • give the impression that the Contribution emanates from, or is endorsed by, FE International or any third party where that is not the case.

9. Copyright Complaints

FE International respects intellectual-property rights. If you believe that any Contribution or other material on the Site infringes your copyright, please send a written notice of claimed infringement to legal@feinternational.com. The notice should include: (a) a physical or electronic signature of the rights holder or someone authorized to act on the rights holder's behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing, with information reasonably sufficient to allow us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the rights holder, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act. It is FE International's policy to terminate the accounts of repeat infringers in appropriate circumstances.

10. Reliance on Information Posted

Information made available on or through the Site is provided for general informational purposes only. FE International does not warrant the accuracy, completeness, currency, or usefulness of any information on the Site, and any reliance you place on it is at your own risk. We disclaim all liability arising from any reliance placed on information available on the Site by any visitor or by any person who may be informed of its contents.

The Site may include content provided by third parties, including other users, contributors, advisors, syndicators, and aggregators. All statements, opinions, and recommendations in third-party content are the sole responsibility of the person or entity providing them and do not necessarily reflect FE International's views. We are not responsible for, and not liable for, the content or accuracy of any third-party material.

11. Updates to the Site

FE International may update content on the Site from time to time, but we are under no obligation to do so. Content on the Site may be out of date at any given time. We may add, change, suspend, or discontinue any feature, tool, or content on the Site at any time, in our sole discretion and without notice.

12. Privacy

All information we collect through the Site is handled in accordance with our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information that are consistent with the Privacy Policy.

13. Linking to the Site and Social Media

13.1 Permitted Linking

You may link to our homepage, provided that you do so in a way that is fair and lawful and does not damage or take advantage of FE International's reputation. You may not establish a link in any way that suggests any form of association, approval, or endorsement by FE International without our express written consent.

13.2 Social Media Features

The Site may include social-media features that let you link to Site content from your own or a third-party website, send communications containing Site content or links, or display limited portions of Site content on your own or a third-party website. You may use these features only as we provide them, only with respect to the content they are displayed with, and in compliance with any additional terms we provide. You may not establish a link from any website that you do not own; cause the Site or any portion of it to be displayed in a frame, deep link, or in-line link; link to any portion of the Site other than the homepage; or take any action with respect to Site materials that is inconsistent with these Website Terms.

13.3 Withdrawal of Permission

Any site that links to the Site, or that hosts content made available through these features, must comply with the Content Standards in Section 8. We may withdraw linking permission at any time, without notice, and may disable any social-media feature or link in our sole discretion.

14. Links from the Site to Third-Party Resources

Where the Site contains links to third-party websites or resources, including links in advertisements, sponsored content, or partner listings, those links are provided for your convenience only. FE International does not control those third-party sites or resources, does not endorse them, and is not responsible for their content, availability, or practices. If you choose to follow a link to a third-party site, you do so at your own risk and subject to that site's terms and privacy policy.

15. Geographic Considerations

FE International is based in the United States. The Site is operated from the United States, and we make no representation that the Site or any of its content is appropriate or available for use in any other location. Access to the Site may not be lawful for certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws.

16. Disclaimer of Warranties

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS AGAINST FE INTERNATIONAL AND REQUIRES YOU TO WAIVE CERTAIN REMEDIES.

YOU UNDERSTAND THAT WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT THE SITE OR ANY CONTENT ON IT WILL BE FREE OF VIRUSES, WORMS, RANSOMWARE, OR OTHER DESTRUCTIVE OR HARMFUL CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING ADEQUATE PROCEDURES, ANTI-VIRUS PROTECTION, AND BACKUP MECHANISMS FOR YOUR OWN SYSTEMS AND DATA. FE INTERNATIONAL WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY ANY DENIAL-OF-SERVICE ATTACK, VIRUS, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICE, SOFTWARE, DATA, OR OTHER PROPERTY DUE TO YOUR USE OF THE SITE OR ANY SERVICE OBTAINED THROUGH THE SITE, OR DUE TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON THE SITE OR ON ANY LINKED SITE.

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICE OR ITEM OBTAINED THROUGH THE SITE IS AT YOUR SOLE RISK. THE SITE, ITS CONTENT, AND ALL SERVICES AND ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FE INTERNATIONAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS AGAINST FE INTERNATIONAL AND REQUIRES YOU TO WAIVE CERTAIN REMEDIES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FE INTERNATIONAL, ITS AFFILIATES, OR ANY OF OUR OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL OR EQUITABLE THEORY, ARISING FROM OR RELATING TO YOUR USE OR INABILITY TO USE THE SITE, ANY SITE LINKED TO IT, ANY CONTENT ON THE SITE OR ANY SUCH LINKED SITE, OR ANY SERVICE OR ITEM OBTAINED THROUGH THE SITE OR ANY SUCH LINKED SITE. THIS INCLUDES, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, AND DAMAGES FOR PERSONAL INJURY, EMOTIONAL DISTRESS, LOST PROFITS, LOST REVENUE, LOST BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, AND LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, AND EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Indemnification

You agree to defend, indemnify, and hold harmless FE International, our affiliates, licensors, and service providers, and each of our and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns, from and against any claim, demand, action, loss, damage, cost, or expense (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Website Terms; (b) your use of the Site, including any Contribution you submit; (c) any use of the Site's content, services, or products other than as expressly authorized in these Website Terms; or (d) your use of any information obtained from the Site.

19. Termination

Information about how to deactivate your account is available within the Site. If you have purchased a paid subscription with a fixed term, termination of that subscription is effective on the last day of the then-current term. Where your order form provides for automatic renewal, a renewal term will begin automatically unless either party gives notice of non-renewal at least thirty (30) days before the next renewal term begins.

If you fail to comply with any provision of these Website Terms, FE International may terminate these Website Terms immediately and may retain any fees previously paid by you, to the extent permitted by law and our Refund Policy. On termination, you must stop using the Site. If at any time you are not satisfied with the Site, your sole remedy is to stop using it and follow the cancellation process. Any provision of these Website Terms that by its nature should survive termination — including Sections 5, 7.2, 7.3, 16, 17, 18, 20, 21, 22, and 23 — survives termination.

20. Governing Law and Jurisdiction

All matters relating to the Site and these Website Terms, and any dispute or claim arising from or related to either (in each case including non-contractual disputes or claims), are governed by, and construed in accordance with, the internal laws of the State of California, without giving effect to any conflict-of-laws rule that would result in the laws of another jurisdiction applying.

Any legal action or proceeding arising from or related to these Website Terms or the Site must be brought exclusively in the federal or state courts located in California. FE International expressly retains the right, however, to bring any action or proceeding against you for breach of these Website Terms in your country or state of residence or in any other relevant jurisdiction. You waive any objection to the exercise of jurisdiction over you by, and to venue in, those courts.

21. Arbitration

At FE International's sole election, FE International may require any dispute arising from or relating to these Website Terms or your use of the Site — including disputes about their interpretation, alleged breach, validity, performance, or termination — to be resolved by final and binding arbitration administered by the American Arbitration Association under its then-current Commercial Arbitration Rules, applying California law. The arbitration will take place in California, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in the courts identified in Section 20 to protect intellectual-property or confidential-information rights.

22. Time Limit on Claims
